Stockaro – Shopify App
1. Description of services
Stockaro is a Shopify app for warehouse management (WMS). Features: inventory control, order synchronisation, order handling (pick/pack/fulfil), delivery note printing, product approval and statistics.
2. Scope (B2B)
These terms apply exclusively to entrepreneurs (§ 14 BGB). By installing the app, the merchant declares that they are acting on behalf of a business.
3. Account and access
Access is granted exclusively via Shopify OAuth. The merchant is responsible for the security of their Shopify account and is liable for all actions taken under it.
4. Subscription and billing
Billing is handled exclusively through Shopify Billing. Prices are shown in the Shopify App Store and before activation (net, plus VAT). The subscription renews automatically until cancelled via the Shopify admin panel. Upgrades and downgrades are prorated in accordance with Shopify's rules.
5. Availability
The provider aims for high availability but gives no guarantee of uninterrupted operation (no SLA). No liability is accepted for outages caused by Shopify, Railway or other third-party providers.
6. Support
Support by email: info@stockaro.de. A response within 2 working days is intended; there is no legal entitlement to specific response times.
7. Merchant obligations
- Use only for lawful purposes
- Keep the Shopify account secure
- Regular CSV export for the merchant's own backup (the app is not a backup system)
- No reverse engineering, no sharing of access credentials
8. Data protection and DPA
The provider processes order data on behalf of the merchant (processor under Art. 28 GDPR). The Data Processing Agreement (DPA) governs this and forms part of these terms. Privacy policy: Privacy Policy
9. Term, termination and deletion
The contract begins with installation and subscription activation. Termination is possible at any time via the Shopify admin.
On uninstallation: immediate deactivation and token revocation. Full deletion of the data takes place without undue delay after receipt of the Shopify webhook shop/redact, which Shopify typically sends around 48 hours after uninstallation; details in the DPA.
Data export (CSV) available on request before deletion.
10. Liability (B2B)
Unlimited liability for intent, gross negligence and injury to life, body or health. In cases of slight negligence: liability only for breach of material contractual obligations, limited to foreseeable damage typical of this type of contract. Otherwise, indirect damage, lost profit and data loss are excluded. Inventory data should be exported regularly.
11. Changes
Changes that materially affect the scope of services or the merchant's obligations will be communicated at least 30 days before they take effect, by email or in-app notification. The merchant may terminate the contract until the change takes effect; continued use of the app thereafter constitutes acceptance.
Editorial clarifications, corrections and adjustments required by law or by Shopify's requirements may be made with immediate effect. We will communicate them with the next change notification.
12. IP rights / licence
The provider grants a non-exclusive, non-transferable licence to use the app for the duration of the subscription. All rights in the app remain with the provider.
13. Governing law and place of jurisdiction
German law applies (CISG excluded).
Exclusive place of jurisdiction: Gütersloh, provided the merchant is a merchant within the meaning of the German Commercial Code, a legal entity under public law, or a special fund under public law.
14. Severability
Should individual provisions be invalid, the remainder of the contract remains effective.
